1. Parties, product and scope

This Warranty Term (the “Warranty”) is issued by Yatri Design Studio Pvt., Ltd. (Yatri Energy), (“Manufacturer/Authorized Provider”) to Purchaser / operator legal name (“Customer”) for Yatri Energy-branded 4-Wheeler DC Charging Stations, including only the equipment, accessories and serial numbers listed in the applicable purchase order, delivery record or commissioning certificate (the “Product”). Yatri Energy is the brand/product designation; the contracting manufacturer and warranty obligor.

This Warranty applies to defects in materials and workmanship in the Product as supplied by Manufacturer/Authorized Provider, subject to the terms, exclusions, limits, claim procedure and remedies below. It does not constitute a guarantee of uninterrupted or error-free operation, a guaranteed availability level, or a promise that every component will last for the full calendar warranty period.

1.1 Order of precedence

Where a conflict arises between these documents, the following order of precedence applies, from highest to lowest: (a) the executed purchase order, to the extent it expressly varies a term below; (b) this Warranty and its schedules; (c) the Product manuals and approved drawings. A provision in a lower-ranked document that is silent on a matter does not create a conflict with a higher-ranked document.

2. Warranty duration and commencement

  • Complete station: twenty-four (24) months from the earlier of (a) the date of signed dispatch by Manufacturer/Authorized Provider, unless the purchase order expressly states otherwise.
  • Component-specific limits: Components listed in Schedule A are covered for the shorter of the stated calendar period and the applicable usage limit, measured from the warranty commencement date. If no usage limit is specified for a component, its applicable calendar period alone applies.
  • Warranty is limited to the original Product at its original installation site and is non-transferable without Manufacturer’s written consent. Resale, commercial use or operation at rated capacity does not by itself void warranty, but the usage limits and exclusions in this document apply.
  • Replacement parts are covered for the remainder of the original component warranty or ninety (90) days from replacement, whichever is longer, but do not restart or extend the warranty of the complete station.

3. Warranty remedy and limitations

For a claim accepted in writing, Manufacturer may, at its option: (a) provide remote troubleshooting; (b) repair the affected component; (c) supply new or factory-refurbished functionally equivalent parts; or (d) replace the affected Product with a functionally equivalent unit. Refurbished parts may be used where legally permitted and functionally suitable.

Unless the purchase order expressly includes onsite service, Customer is responsible for safe access, isolation, dismantling, reinstallation, commissioning, local labor, lifting equipment, permits, customs duties, taxes, accommodation and travel.

Unless otherwise expressly agreed in writing, all replacement parts supplied by the Manufacturer under this Warranty shall be provided on an EXW (Ex Works) basis at the Manufacturer’s nominated facility, in accordance with the applicable Incoterms. Any deviation from EXW, including alternative Incoterms or additional shipping, freight, insurance, customs clearance, or delivery responsibilities, shall be expressly specified in the Customer’s Purchase Order (PO) and accepted by the Manufacturer in writing. In the event of any inconsistency between the Incoterms stated in the quotation and those specified in the accepted PO, the Incoterms stated in the accepted PO shall prevail. Where neither the quotation nor the accepted PO specifies an applicable Incoterm, EXW at the Manufacturer’s nominated facility shall apply by default.

Manufacturer’s aggregate liability under this Warranty shall not exceed the net purchase price paid for the affected Product. To the maximum extent permitted by applicable law, Manufacturer shall not be liable for indirect, incidental, special, punitive or consequential losses, including lost revenue, lost charging fees, loss of use, business interruption, loss of data, substitute equipment, grid penalties or third-party claims. Nothing in this Warranty excludes liability that cannot lawfully be excluded, including liability for death or personal injury caused by negligence, fraud, or wilful misconduct where such exclusion is prohibited.

4. Conditions for warranty validity

  • Product purchase price and undisputed invoices are paid when due, subject to non-waivable applicable law.
  • Installation, earthing, protection coordination, cabling, ventilation/clearances and commissioning comply with Manufacturer’s current written manuals and approved drawings.
  • Only trained personnel perform installation, commissioning, internal service and repairs; personnel must be Manufacturer-authorized where the task is designated as restricted in the manual.
  • Customer performs and records the preventive maintenance in Schedule B and retains maintenance, fault, event, meter and service logs, except where such maintenance and servicing responsibilities are expressly assigned to Manufacturer under a valid Annual Maintenance Contract (AMC).
  • Where Customer has subscribed to and maintains a valid AMC with Manufacturer or a Manufacturer-authorized service provider, Manufacturer or the AMC service provider shall be responsible for carrying out the scheduled preventive maintenance, routine servicing, inspections and other maintenance activities expressly included within the scope of the AMC and in accordance with Schedule B and the applicable Product manual.
  • Customer reports a suspected defect promptly and within the warranty period, provides the Product serial number, proof of purchase, commissioning date, available fault codes, photographs, operating logs and reasonable remote diagnostic access. Where an AMC is in force, Customer’s reporting obligations shall be limited to information and access reasonably available to Customer, including the daily visual inspection findings and any observed abnormal conditions.
  • Product remains identifiable by its serial number and has not been subjected to unauthorized alteration, bypassing of protection, or removal of safety labels.
  • Customer takes reasonable steps to prevent further damage after a fault, including stopping use where continued operation may create a safety risk, and promptly notifies Manufacturer as the designated AMC service provider.
  • Customer-Managed Maintenance (Without AMC): Where the Customer does not subscribe to the Manufacturer’s AMC, the Customer shall be responsible for all maintenance and servicing as per the Manufacturer’s manual and Schedule B. Any defect or damage directly caused or materially contributed to by improper, inadequate, or omitted maintenance shall be excluded from warranty to the extent attributable to such maintenance failure.

5. Detailed exclusions from limited warranty

Warranty coverage is excluded only to the extent Manufacturer reasonably determines, based on available technical evidence, that the claimed defect, damage or service requirement was caused by one or more of the following. An exclusion affecting one component does not automatically exclude an unrelated defect in another component.

5.1 Normal wear, consumables and usage-related deterioration

Normal wear, gradual deterioration or scheduled replacement of consumables and service items, including air filters, fuses operated by a genuine external fault, coolant at scheduled replacement, desiccants, labels, door keys, RFID cards, protective caps, cable holders, cosmetic finishes and other items identified as consumables in the manual. Charging cables, connector contacts, seals, fans, pumps, relays and contactors are excluded for wear after their Schedule A usage limits are reached. Premature failure caused by a proven material or manufacturing defect within the applicable component warranty remains eligible.

5.2 GBT/CCS2 cable, connector and gun damage

Cuts, crushing, vehicle run-over, dragging, sharp bending below the specified minimum radius, kinking, twisting, unauthorized repair, exposure to chemicals, connector drops or impacts, contamination, liquid ingress while uncapped or improperly stored, bent/burned pins caused by poor vehicle inlet condition, forced insertion/removal, misuse of latch or cable strain relief, and wear after the stated mating/flex-cycle limit. Damage from a defective supplied connector or cable assembly remains covered within its component limit.

5.3 Electrical supply and site infrastructure

Damage caused by input voltage, frequency, phase imbalance, harmonics, transients, fault current, earthing, neutral, short-circuit level or generator conditions outside the Product’s published input and protection limits; inadequate upstream breaker, transformer, cable sizing, SPD, earthing or protection coordination; loose/overheated site terminations; or faults originating in Customer’s grid, switchgear, transformer, distribution board, generator or other equipment not supplied by Manufacturer. Manufacturer is not responsible for site infrastructure or utility outages.

5.4 Lightning, surge and force majeure

Damage directly caused by lightning, flood, earthquake, fire, landslide, storm, vandalism, war, riot, civil disturbance, sabotage, pest or rodent damage, or another event beyond Manufacturer's reasonable control is excluded to the extent that the damage is attributable to that event. This exclusion does not apply to the extent that a defect in the Product's design, materials, manufacture, installation by Manufacturer, or supplied protective devices caused or materially contributed to the damage, subject to the limitations and exclusions permitted by applicable law. Manufacturer may request reasonably available evidence of the external event, including site records, protection-device status, utility reports, inspection findings or photographs, where relevant to determining causation.

5.5 Environment and ingress

Operation beyond the declared ambient temperature, humidity, altitude, pollution degree, IP/IK rating or other environmental limits; immersion, flooding, pressure washing, corrosive/chemical exposure, excessive dust, salt, conductive deposits, blocked ventilation, condensation due to site conditions, or installation contrary to drainage/clearance instructions. Normal outdoor rain and dust within the Product’s declared ratings are not excluded by themselves.

5.6 Installation, commissioning, transport and storage

Improper lifting, transport, storage, unloading, mounting, foundation, anchoring, cable termination, torqueing, earthing, protection settings, phase sequence, ventilation, commissioning or energization by Customer or its contractors; operation before required acceptance tests; or failure to follow the supplied manuals. Damage caused by Manufacturer’s own installation or factory workmanship remains covered.

5.7 Unauthorized access, repair or modification

Opening sealed or restricted compartments, modifying wiring, firmware, current limits, safety interlocks or protection settings; bypassing alarms or protective devices; installing non-approved parts/software; unauthorized repairs, reverse engineering, relocation or dismantling; or failure to obtain written approval where required. Coverage is excluded for damage caused or contributed to by the action, not automatically for unrelated components.

5.8 Misuse, abuse and third-party damage

Negligence, abuse, overloading, use outside the Product’s intended purpose, collision, impact, dropping, vandalism, theft, tampering, use of incompatible adapters or vehicles, forced connector operation, excessive touchscreen force, or damage caused by Customer, end users, contractors or other third parties.

5.9 Maintenance and operating records

Failure to perform the maintenance schedule, keep required records, clean filters, maintain cooling, inspect cables and connector pins, maintain clear airflow, or address a documented fault in a reasonable time, where the failure materially caused or aggravated the claimed defect. Missing records may prevent verification of a claim; Manufacturer shall consider other reasonable evidence. Where maintenance is performed under a valid Annual Maintenance Contract (AMC) with Manufacturer or Manufacturer-authorized provider, responsibility for missed maintenance or incomplete records shall rest with the AMC provider, and shall not by itself void the Customer's warranty eligibility.

5.10 Software, OCPP, network and cybersecurity

Failures of Customer’s internet, SIM, router, backend, payment gateway, cloud platform, third-party OCPP server, cellular operator or external network; non-compliant or malformed remote commands, load-balancing instructions or configuration; malware or cyberattack entering through Customer’s unprotected network; or third-party software changes. Manufacturer remains responsible for defects in its supplied firmware and contracted interfaces, but not for uninterrupted third-party services.

5.11 Vehicle and interoperability changes

Changes or upgrades required solely to support vehicle models, communication behaviours, charging protocols, backend platforms, standards or regulatory requirements introduced after delivery, unless expressly included in the purchase order or required by applicable law. Manufacturer does not warrant compatibility with every present or future vehicle.

5.12 Customer-specified design or third-party parts

Defects directly attributable to a design, material, specification or production method expressly stipulated by Customer against Manufacturer’s written technical warning, or to Customer-supplied/third-party components. Manufacturer must document the risk and obtain Customer’s written acceptance for this exclusion to apply.

5.13 Cosmetic and non-functional issues

Minor scratches, dents, discoloration, paint fading, superficial corrosion not affecting structural integrity or safety, or other aesthetic defects arising after delivery that do not materially affect safe operation or contracted functionality.

5.14 External equipment and consequential damage

Damage caused by defective vehicles, vehicle inlet, external cables, site switchgear, payment terminals, meters, transformers or other equipment outside the Product. Manufacturer is not responsible for consequential damage to vehicles, premises, grid equipment or third-party property, except to the extent liability cannot lawfully be excluded or the damage is directly caused by Manufacturer’s proven defect and is otherwise recoverable under the contract.

6. Warranty claim procedure and inspection

  • Customer shall notify Manufacturer in writing within ten (10) business days after discovering the suspected defect and before the applicable warranty expires.
  • Customer shall provide product model and serial number, purchase and commissioning records, description of fault, date/time, charging-session and energy counters, event logs, photographs/video, site supply measurements, maintenance records and details of any third-party intervention.
  • Manufacturer may perform remote diagnostics and may require safe tests, return of the failed part, or inspection by Manufacturer or its authorized service partner. Customer shall preserve the part and not discard or destructively examine it without written authorization, except where necessary for immediate safety.
  • Manufacturer may reject a claim where diagnostics reasonably establish an exclusion, usage limit expiry, absence of a covered defect, or inability to verify the claim after Customer fails to provide reasonably requested information or access.
  • If no covered defect is found, or the failure is excluded, Customer shall pay reasonable, documented diagnostic, travel, labor, shipping and repair costs disclosed or approved before the work is undertaken, except where prohibited by law. Where Customer holds a valid AMC that already covers diagnostic, travel, or labor costs for the relevant service type, such costs shall not be separately charged under this clause; only costs exceeding the scope of the AMC coverage shall apply.
  • Returned parts requested by Manufacturer shall be packed and shipped as instructed. Title to replaced parts transfers to Manufacturer upon replacement, subject to applicable law and the agreed shipping terms.
  • Manufacturer will acknowledge a complete claim within five (5) business days and provide an initial diagnostic or action plan within ten (10) business days, subject to receipt of necessary information and reasonable access. These are response targets, not guaranteed repair or uptime commitments unless separately contracted.

7. Schedule A – Component-level warranty and usage matrix

The following are proposed manufacturer-protective limits for quotation and negotiation. They are not representations of proven component life. Manufacturer must confirm or replace each limit with the actual component datasheet rating before the schedule is signed. For every row, coverage ends at the earlier of the stated calendar term or stated usage cap.

8. Schedule B – Customer maintenance and operating conditions

Customer shall maintain a site log and perform the following minimum checks, adjusted to site conditions and the Product manual. Where Customer holds a valid AMC, the “Responsible party” column indicates the default allocation; the AMC contract governs to the extent it expressly allocates a task differently.

Important Note: All internal servicing must be performed only after safe isolation, lockout/tagout and discharge waiting times stated in the Product manual. The manual’s safety instructions take precedence. Customer must not open energized equipment.

9. Severability

If any provision of this Warranty is held invalid or unenforceable under the governing law, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

10. Amendment and version control

This Warranty may be amended only by a written document signed by both parties or by a Manufacturer-issued revision expressly stated to apply to Products already delivered; absent such express statement, a later revision applies only to Products ordered after its issue date.
